End-User License Agreement (EULA)

Effective Date: December 1, 2025

1. Parties and Acceptance

This End-User License Agreement ("Agreement" or "EULA") is a binding legal contract between you, the End-User ("Client" or "You"), and Truenorth Technologies Group LLC ("Company," "We," or "Us").

By accessing or using the Timetrax software and services ("Application"), You agree to be bound by the terms and conditions of this Agreement. If You do not agree to the terms of this EULA, You may not access or use the Application.

2. License Grant

Subject to the terms of this Agreement, the Company grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Application during the Subscription Term, solely for Your internal business purposes.

The Application is licensed, not sold, and You acknowledge that all ownership rights and title to the Application and all updates remain with the Company.

3. Client Authorization and QuickBooks Integration

A core function of the Application is to integrate with Your QuickBooks Online account.

• Authorization: You must authorize the Application to connect to Your QuickBooks Online account through Intuit's official API. By doing so, You consent to the Application accessing, retrieving, downloading, and uploading Your financial data, including but not limited to: invoices, expenses, account details, customer records, and transaction data, as necessary to provide the services.
• Intuit Terms: You acknowledge and agree that Your use of the Application's integration features is also subject to the then-current Intuit Developer Terms of Service and any applicable QuickBooks Online Terms of Service and Privacy Policy. You are responsible for maintaining Your compliance with Intuit's terms.
• Data Use: The Company will access and use Your QuickBooks Data solely for the purpose of providing the services described in the Application’s documentation and as outlined in the Company’s separate Privacy Policy.

4. Restrictions on Use

You agree not to, and You will not permit others to:

• Reverse Engineer: Reverse engineer, decompile, or disassemble the Application or attempt to derive its source code.
• Sublicense: Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Application or access to any third party.
• Unauthorized Use: Use the Application for any illegal or unauthorized purpose, or in any way that violates applicable local, national, or international laws.
• Interference: Interfere with or disrupt the integrity or performance of the Application or the data contained therein.
• Exceed Scope: Use the Application beyond the scope of the license granted in this EULA.

5. Intellectual Property and Ownership

The Application, including its source code, design, features, and functionality, are owned by the Company and are protected by United States and international intellectual property laws. This Agreement grants You a limited license to use the Application, not ownership of the Application itself.

6. Term and Termination

• Term: This Agreement begins when You first use the Application and continues until terminated by either party.
• Termination by You: You may terminate this Agreement at any time by cancelling your subscription and revoking the Application's access to your QuickBooks Online data via the QuickBooks App Management settings.
• Termination by Us: We may terminate this Agreement immediately if You breach any term of this EULA, if Your subscription to the Application is terminated, or as required by law or by Intuit's policies.
• Effect of Termination: Upon termination, Your license to use the Application ceases immediately. You remain responsible for any fees accrued prior to the termination date.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND THOSE ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OPERATE WITHOUT ERROR, OR THAT ALL DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE).

9. Governing Law

This Agreement is governed by the laws of the State of Michigan, without regard to its conflict of laws principles.
